Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) form a binding agreement between you (“User” or “you”) and SuperDep, LLC (“Company,” “we,” “our,” or “us”) governing your access to and use of the SuperDep deposition-summary platform, mobile or web applications, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Eligibility & Accounts

You must be at least 18 years old and legally able to enter contracts. You are responsible for safeguarding account credentials and all activity occurring under your account.

3. Description of the Service

The Service allows Users to upload deposition transcripts or other legal documents and receive AI-generated summaries, analyses, and related outputs. Summaries are produced via third-party large-language-model providers (see § 9). You retain all ownership of uploaded content; however, you grant us the limited rights in § 5 to operate the Service.

4. Fees, Billing & Refunds

Pricing TBD — will reference the publicly posted Pricing Page once finalized. All fees are denominated in U.S. dollars and are non-refundable except as required by law. You authorize us (and our payment processor) to charge your chosen payment method on a recurring basis for subscription fees or, if applicable, per-page usage fees. You may cancel at any time effective at the end of your current billing cycle.

5. User Content & License

You grant SuperDep, LLC a worldwide, non-exclusive, royalty-free license to host, process, and display your uploaded transcripts and derived outputs solely to operate, improve, and provide the Service and to comply with legal obligations. We claim no ownership over your original materials.

6. Data Retention & Deletion

Uploaded transcripts and generated summaries are retained for 14 daysfrom upload unless you delete them sooner via the dashboard or request deletion at support@superdep.ai. After deletion or the 14-day window, only minimal backup copies may persist for up to 30 days.

7. Intellectual Property

The Service, underlying software, and branding are owned by SuperDep, LLC or its licensors. Except for the limited license in § 5, no intellectual-property rights are transferred to you.

8. Subprocessors & Third-Party Services

We use carefully vetted subprocessors—including AWS, Vercel, Railway, and xAI large-language-model providers—to deliver the Service. Each subprocesser is contractually bound to appropriate confidentiality and security obligations.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Summaries may contain inaccuracies; always verify before relying on them.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SUPERDEP, LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) US $100.

11. Indemnification

You agree to defend, indemnify, and hold harmless SuperDep, LLC and its affiliates from any claims, damages, or expenses arising out of your use of the Service, your content, or your violation of these Terms.

12. Governing Law & Binding Arbitration

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws principles. Any dispute arising out of or relating to the Service or these Terms shall be finally resolved by binding arbitrationadministered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration shall be Chicago, Illinois. Either party may bring an individual claim in small-claims court with jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Changes to These Terms

We may modify these Terms at any time by posting the revised version on the Service and updating the “Effective Date.” Material changes will be emailed or otherwise prominently communicated. Continued use after the effective date constitutes acceptance.
